1. The Agreement
These Terms of Service ("Terms") form a binding agreement between you ("you", "Licensee") and O'Neil Beats ("we", "us", "Licensor"). If you do not agree, do not use the service.
2. Eligibility
You must be at least 18 years old, or 13+ with your legal guardian's consent and on their account, to use O'Neil Beats. By using the service you represent that you meet this requirement.
3. Account & Security
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at produceroneil@gmail.com of any unauthorized use.
4. Beat Licenses
4.1 What you are buying
When you purchase a beat, you are buying a non-exclusive license (or, if explicitly marked, an exclusive license) to use the underlying composition and master recording. You are not buying ownership of the copyright. The producer retains all underlying rights except those expressly granted in your license.
4.2 License tiers (overview)
The exact rights granted depend on the tier you purchase. The full terms of your specific license are stated in the PDF license document delivered with your order — that document controls in case of any conflict with this overview.

4.3 Required credit
For all non-exclusive licenses, you must credit the producer in song metadata, video descriptions, and visible release credits as: "Prod. by O'Neil".
4.4 What you may NOT do
- Resell, sublicense, lease, or redistribute the raw beat, stems, or any constituent files.
- Register the beat or any derivative work with a content-ID or fingerprinting service (YouTube Content ID, Audible Magic, etc.) in a way that would block the producer or other licensees.
- Use the beat in connection with hate speech, illegal activity, or content that defames identifiable persons.
- Claim authorship of the underlying composition or master.
5. Free Beat of the Week
From time to time we may offer a "Free Beat of the Week" promotion. Free beats are licensed to you under the same terms as our standard MP3 Lease (10,000 stream cap, non-exclusive, credit required), unless explicitly stated otherwise. The producer reserves the right to remove any beat from the free promotion at any time; downloads completed before removal remain validly licensed.
6. Payment, Refunds & Chargebacks
- All payments are processed by Stripe and charged in U.S. Dollars unless otherwise indicated.
- All sales are final. Because beats are delivered as digital downloads, we do not offer refunds once files have been delivered, except where required by law.
- If you initiate a chargeback, we reserve the right to revoke your license and pursue collection of the original purchase price plus any chargeback fees.
7. Intellectual Property
All beats, artwork, the O'Neil Beats name, logo, and the website itself are protected by U.S. and international copyright and trademark law. Except for the limited license granted in your purchase, no rights are transferred to you.
8. DMCA — Copyright Infringement Notices
If you believe content on O'Neil Beats infringes your copyright, send a written notice to our designated agent that includes:
- Your physical or electronic signature.
- Identification of the copyrighted work claimed to be infringed.
- Identification of the material on our service and its location (URL).
- Your contact information (address, phone, email).
- A statement that you have a good-faith belief that the use is not authorized.
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act on the rights owner's behalf.

9. User Conduct
You agree not to: (a) reverse-engineer, scrape, or attempt unauthorized access to our systems; (b) interfere with the service's operation; (c) use the service to transmit malware; (d) impersonate any person or entity.
10. Disclaimer of Warranties
THE SERVICE AND ALL BEATS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE OR ANY BEAT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
12. Indemnification
You agree to indemnify and hold harmless O'Neil Beats, its owner, and its agents from any claim arising out of (a) your breach of these Terms, (b) your use of any beat in violation of your license, or (c) any content you create or distribute that incorporates a beat.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of [REVIEW — insert your home state, e.g., Florida], without regard to conflict-of-law principles.
Any dispute arising from these Terms or the service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring small-claims actions. You waive any right to participate in a class action.

14. Termination
We may suspend or terminate your account and revoke any license at any time for material breach of these Terms (including unpaid chargebacks, fraud, or violation of the license restrictions in Section 4.4). Sections 4 (license restrictions), 7-13 survive termination.
15. Changes to These Terms
We may revise these Terms from time to time. Material changes will be announced on this page with an updated "Last Updated" date and, where you have opted in to email, by email. Continued use of the service after changes take effect constitutes acceptance.
16. Entire Agreement
These Terms, together with our Privacy Policy and the specific license PDF delivered with your order, constitute the entire agreement between you and O'Neil Beats with respect to the service.
